NRNNCC of USA Executive for 2013-2014 Announcement
Exclusive;
New York- WHEREAS, On October 18, 2012, the executive board meeting of NRNNCC of USA unanimously appointed Mr. Tsewang Sherpalama as the Election Chairman for the election of NRNNCC of USA Directors and Officers for 2013-2014 term.

WHEREAS, On October 20, 2012, the President of NRNNCC of USA informed Mr. Tsewang Sherpalama, the decisions of the executive board meeting of NRNNCC of USA unanimously appointing Mr. Tsewang Sherpalama as the Election Chairman for the election of NRNNCC of USA Directors and Officers for 2013-2014 term.

WHEREAS, On October 23, 2012, with the authority vested by the executive board meeting of NRNNCC of USA, Tsewang Sherpalama the Election Chairman of NRNNCC of USA Election 2013-2014 made official public announcement of the election as per “membership”, institutional “partner”, delegation” and election articles of NRNCC bylaws.

WHEREAS, On October 27, 2012, with the authority vested by the executive board meeting of NRNNCC of USA, Tsewang Sherpalama the Election Chairman of NRNNCC of USA Election 2013-2014 made official appointment of two election committee members. They are Ms. Bitu Baral of Texas and Ms. Bishnu Gurung “Ekata” of California.

WHEREAS, On October 28, 2012 a teleconference meeting of the Election Committee was scheduled, for November 04, 2012 to discuss election detail.

WHEREAS, On November 1, 2012 the election committee requested the President, General Secretary and the Treasurer to provide legally required documents to conducted NRNNCC of USA Election. The requested documents lists included but not limited to verifiable legit delegate lists and other membership lists. The due date to submit necessary documents to the election committee was November 10, 2012.

WHEREAS, On November 3, 2012 Secretary of State, Tennessee was officially notified of the NRNNCC of USA election process and concerns.
WHEREAS, On November 6, 2012 Secretary of State, Tennessee officially notified acknowledgement of notification to the NRNNCC of USA election committee.

WHEREAS, On November 04, 2012 a teleconference meeting of the Election Committee was held, and discussed on election related details.
WHEREAS, On November 9, 2012 the president, General Secretary and the Treasurer/s were reminded of election committee’s request to submit the delegates (voters) lists and other member’s lists. A sample format to properly list the delegates (voters) and other member’s names was attached as well, to list such records in complaisance to NRNNCC of USA currant bylaws, Nonprofit Corporation Acts of State of Tennessee and other applicable laws.

WHEREAS, On November 1, 2012 the President, General Secretary Cc; all board of Directors, Election committee members. Bcc: NRNICC Officers and Secretary of State, TN was notified of following communication by the Election Committee.

“Please note that NRNNCC of USA Election Committee with the authority vested by the Board of Directors shall take following but not limited to actions in the event; Should the Election Committee not receive all document listed above to conduct NRNNCC of USA Directors and Officers election in accordance to the bylaws of the NRNNCC of USA and other applicable non-profit corporation Directors and Officers Election rules.”


“To Preserve the institutional integrity, history, continuation and greater interests of NRN (non-resident Nepali & PON (People of Nepali Origin) of the different Nepali Diaspora, the election committee shall decided to appoint capable individuals from the Nepali Diaspora as executive Officers of the NRNNCC of USA for 2013-2014, under the generally practiced recruitment guidelines of Corporation Executives and Officers. Should such a crisis occur, the election committee shall make such announcement guided by the NONPROFIT CORPORATIONS GENERAL PROVISIONS "Ordinary care" means the care that an ordinarily prudent person in a similar position would exercise under similar circumstance AND, a certified name list of such Executives shall be submitted to the Secretary of State, State of Tennessee, USA”.

WHEREAS, As on November 12, 2012, the Election Committee chairman called the secretary of state, TN seeking advice for alternative solution to form new executive team in absence of legal voters and legit members lists.

WHEREAS, As of November 30, 2012, the Election Committee is not provided with any records, documents and/or any verified and/or verifiable lists of Delegates (voters) and other member’s lists required to conduct this election as per the bylaws of NRNCCC of USA and other applicable non-profit corporation.

NOW THEREFORE, intending to be legally bound and in consideration of the covenants and understandings communicated by the election committee to the NRNNCC Board of Directors through email dated November 1, 2012, per no objection of the board, the election committee Chairman as advised by the secretary of state, TN with consultation to the legal counsel and election committee members has decided to appoint and certify following individuals ( Name and Executive position list at the bottom of this announcement) as Executives of the NRNNCC of USA 2013-2014 with following mandates as their primary responsibilities.

1. Immediate and Primary responsibilities.

a. Appointed Executives agree to immediately fix all delegates (voters) and other membership mandates and records as per currant bylaws no later than June 30, 2013 so that a non-crisis environment can be guaranteed to conduct the next NRNNCC of USA Directors and Officers election in complacence to the bylaws of the organization.
b. Appointed Executives agree to initiate their first course of action to comply with all proper record keeping procedures including but not limited to Voter’s record, financial records by June 30, 2013 as per NRNNCC of USA bylaws and nonprofit corporation Acts of State of TN.
c. Appointed Executives agree to make transparent by posting on NRNNCC of USA official website, all proper record keeping procedures including but not limited to Voter’s record, financial records by June 30, 2013 as per NRNNCC of USA bylaws and nonprofit corporation Acts of State of TN.
d. Appointed Executives agree to immediately, within a week (by December 8, 2012)  make required nomination fee payments and other applicable membership fee payments as decided on October 18, 2012 Board meeting.
e. Nominated Executives agree to immediately, within a week (by December 8, 2012) submit personal resume related to Non-profit service experience with a photograph and a 10 sentence personal statement describing how their service will benefit the NRNNCC of USA in 2013-2014 (only a do-able plan of action, no written speech and Bhasan). Appointed Executives consent to publish their non-profit service resume and personal statement with photograph on NRNNCC of USA website.
f. Nominated Executives agree to take oath of office on inauguration day and place decided by the election committee.

2. In the event, that the newly appointed Executives fail to fulfill above responsibilities to the complete satisfaction of the Election Committee members by datelines, the election committee shall immediately nullify the current decision, and seek further guidance from the secretary of state, TN and non-profit legal counsel for further actions to secure the institutional integrity and interests of the NRNNCC of USA including but not limited to, conduct an election by new voters drive and vie third party secure e-voting arrangement supervised by, in minimum 3 reputable Nepali professional media personals to replace the appointed executives.

3. Thus, the election committee stay active till above mandates are completely fulfilled by the appointed Executives and reserves all rights including but not limited to conducting a new election by new voters drive in the event the appointed Executives by dateline fail to fulfill their immediate and primary responsibilities.

Now then, the NRNNCC of USA Election committee CERTIFY that under a special curcumtance “bylaw crisis”, and in absense of  verifaibale Delegates (voters) list, with no objection from the board; as advised by the  Secretary of state, TN and the non-profit legal counsel, thus to preserve the institutional integrity, history, continuation and greater interests of NRN (non-resident Nepali & PON (People of Nepali Origin) of the different Nepali Diaspora, the election committee has decided to appoint following interested and capable individuals representing the NRNUSA Nepali Diaspora as executive of the NRNNCC of USA for 2013-2014, under the generally practiced recruitment guidelines (GPRG) of Corporation Executives and Officers. A certified name list of such Executives shall be submitted to the Secretary of State, State of Tennessee, USA vie mail.

7. Tresurer: Mr. Rajendra Shivakoti, CA (CPA)

Governing Law: This Agreement shall be construed in accordance with and governed by the Nonprofit Corporation Acts and the applicable laws of State of Tennessee.

Disclaimer:  Unless, agreed, approved and signed by the Election Chairman, the election committee assumes no legal responsibility and or liabilities. The election committee represents as a non-paid volunteer to conduct the election of Directors and officers of NRNNCC of USA, and/or appoint Directors and Officers as required under the circumstances to be best of our ability and assume no responsibility for any errors, omission, harms and/or results of the election.

Release of Liability by all parties: All parties, past, present and future members, delegates, voters, officers agree to release, acquit and discharge the other members of the election committee from any and all claims, liabilities, payment or obligations may be alleged. This Agreement contains the entire agreement and understanding between the Parties and there are no other terms, obligations or covenants of any kind whatsoever except as set forth in this Agreement.

Complaints: All complaints, notices, and other communications provided for hereunder shall be in writing (including telecopy communication) and mailed, faxed, or delivered by hand to Secretary of State, Tennessee, Corporation Division.  All such notices and other communications shall be effective as follows: (a) when mailed, after five days of the date deposited in the mails, (b) when sent by telecopy, upon confirmation of receipt, and (c) when delivered by hand, upon delivery to the addressee.
